These Terms of Service ("Terms") govern your access to and use of the Vertis website, mobile application, software, technology, content, features, communications, training guidance, data integrations, and related services (collectively, the "Services").

The Services are operated by Vertis Training LLC, a Virginia limited liability company ("Vertis," "we," "us," or "our"). "You" and "your" refer to the person accessing or using the Services. If you access or use the Services on behalf of a company, organization, team, club, or other entity, then "you" includes that entity, and you represent that you have authority to bind that entity to these Terms.

Please read these Terms carefully. By accessing, browsing, creating an account, downloading, installing, testing, or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Services.

Important Notice: These Terms include provisions regarding beta access, assumption of athletic risk, no medical advice, AI and algorithmic guidance limitations, third-party data limitations, disclaimers of warranties, limitations of liability, Virginia venue, and jury trial waiver. Please review them carefully.

About Vertis & Acceptance

1. What Vertis Is

Vertis is a digital fitness and endurance training platform designed to help runners and endurance athletes make better daily training decisions. The Services may include features such as:

  • full training plan generation;
  • adaptation of existing training plans;
  • daily workout recommendations;
  • plan adjustments based on completed, missed, deferred, or modified workouts;
  • post-workout summaries and reconciliation;
  • recovery, readiness, fatigue, and training-load insights;
  • activity and wearable data integrations;
  • charts, scores, trends, and summaries;
  • AI-assisted explanations, summaries, safety classification, chat responses, and coaching-style commentary;
  • beta, experimental, or early-access features; and
  • other fitness, training, performance, and wellness-related tools.

Vertis is intended to help you organize, interpret, and act on your own training information. Vertis is not a medical device, healthcare provider, emergency service, licensed coach, personal trainer, therapist, or substitute for professional judgment.

During the current beta period, the Services are intended only for invited users located in the United States who are at least 18 years old. Beta access is free, limited, revocable, and provided for testing and feedback purposes.

2. Agreement to These Terms

By accessing or using the Services, you acknowledge and agree that:

  • you have read, understood, and agree to these Terms;
  • you will comply with these Terms and all applicable laws;
  • you are responsible for your use of the Services and your athletic decisions;
  • your use of the Services is at your own risk; and
  • these Terms form a legally binding agreement between you and Vertis.

If you do not agree, you must stop using the Services.

Eligibility & Accounts

3. Eligibility

The Services are intended only for users who are at least 18 years old and located in the United States during the current beta period.

You may not use the Services if:

  • you are under 18;
  • you are not an invited beta user during the current beta period;
  • you are located outside the United States during the current beta period;
  • you are prohibited from using the Services under applicable law;
  • your account has previously been suspended or terminated by Vertis, unless we have given you written permission to use the Services again; or
  • you are using the Services in a country, region, or context where such use is unlawful.

Vertis may refuse, restrict, suspend, or revoke access to the Services to any person at any time, to the extent permitted by law.

4. Accounts and Registration

To use certain Services, you may need to create an account. You agree to:

  • provide accurate, current, and complete information;
  • keep your information updated;
  • create only one personal account unless Vertis authorizes otherwise;
  • not share your account credentials with others;
  • keep your password and login credentials confidential;
  • promptly notify Vertis of unauthorized access or suspected security breaches; and
  • accept responsibility for all activity that occurs under your account.

Vertis may suspend or terminate your account if we believe your account information is inaccurate, incomplete, misleading, fraudulent, inactive, compromised, or in violation of these Terms.

Privacy & Third-Party Data

5. Privacy Policy and Data Use

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, store, and protect information associated with your use of the Services.

By using the Services, you acknowledge that Vertis may process information such as:

  • account information;
  • profile information;
  • training goals;
  • planned workouts;
  • completed activities;
  • wearable and device data;
  • heart rate and other activity metrics;
  • HRV, sleep, resting heart rate, fatigue, recovery, or wellness-related information if you authorize access or provide such information;
  • location, distance, pace, elevation, route, and GPS-related activity information if available;
  • app usage and engagement data;
  • diagnostics, error logs, and performance data;
  • support communications;
  • feedback; and
  • other information you provide or authorize us to receive.

Vertis may use service providers for analytics, diagnostics, app performance, reliability, security, infrastructure, customer support, AI-assisted communications, and product improvement. Vertis will handle personal information in accordance with the Privacy Policy.

Vertis does not sell identifiable health or fitness data and does not use health or fitness data for advertising. To the extent Vertis uses aggregated, anonymized, or de-identified information for analytics, benchmarking, product improvement, research, or business purposes, such information will not reasonably identify you.

Your privacy rights and choices are described in the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding our processing of personal information, the Privacy Policy will control with respect to that personal information.

6. Third-Party Integrations and Data Sources

During the current beta period, Vertis may integrate with Apple Health and Strava. Future versions of the Services may support additional wearable, activity, health, or fitness data platforms.

The Services may allow you to connect, sync, import, export, or share information with third-party platforms, services, APIs, apps, devices, and accounts, including Apple Health, Strava, app stores, authentication providers, analytics providers, infrastructure providers, AI providers, and other third-party services.

You acknowledge and agree that:

  • third-party services are governed by their own terms, privacy policies, permissions, availability rules, API restrictions, and technical limitations;
  • Vertis is not responsible for third-party services, devices, platforms, APIs, or data sources;
  • third-party data may be incomplete, delayed, inaccurate, duplicated, unavailable, corrupted, stale, mislabeled, or inconsistent;
  • third-party integrations may change, break, degrade, be revoked, or become unavailable at any time;
  • Vertis may not be able to retrieve, process, interpret, or display all data from third-party services;
  • disconnecting Apple Health, Strava, or any other integration may reduce functionality, impair training recommendations, limit plan adaptation, or prevent Vertis from generating complete insights;
  • if you disconnect an integration, Vertis will stop future collection from that integration where technically feasible, but previously collected data may continue to be used to provide historical insights, plan continuity, analytics, and Services functionality unless you request deletion in accordance with the Privacy Policy;
  • deleting your data may impair recommendations, plan continuity, historical analysis, account functionality, product experience, or the accuracy of future outputs;
  • you are responsible for reviewing and managing the permissions you grant to third-party services and Vertis; and
  • Vertis does not guarantee that any third-party device, wearable, app, API, or service will work with the Services, remain compatible, or continue to provide access to data.

Vertis is not responsible for injuries, losses, damages, missed workouts, training errors, incorrect recommendations, or other consequences arising from inaccurate, delayed, unavailable, incomplete, or misinterpreted third-party data.

Training Guidance & Athletic Risk

7. Training Guidance, Recommendations, and User Responsibility

Vertis may provide recommendations, insights, scores, plan adjustments, recovery suggestions, training schedules, activity summaries, explanatory commentary, or other fitness-related guidance. These outputs may appear personalized because they are based on information you provide, information generated by the Services, or information you authorize Vertis to access.

Vertis may use activity data, heart rate, HRV, sleep, resting heart rate, fatigue inputs, recovery signals, and other training-related information to support recommendations and plan logic. These inputs may come from consumer devices, third-party platforms, user entries, or derived calculations. They are not clinical measurements and should not be treated as medical findings, diagnoses, or safety determinations.

You acknowledge and agree that:

  • all training decisions remain your responsibility;
  • you are responsible for deciding whether any workout, training plan, recommendation, adjustment, or insight is appropriate for you;
  • Vertis does not know everything about your health, injury status, medical history, environment, running surface, weather, hydration, nutrition, sleep, stress, equipment, or physical condition;
  • Vertis recommendations may be incomplete, inaccurate, inappropriate, too difficult, too easy, outdated, or unsuitable for your circumstances;
  • readiness, fatigue, recovery, HRV, sleep, resting heart rate, and training-load information may be inaccurate, incomplete, or affected by device placement, sensor quality, sync failures, user behavior, environmental factors, third-party processing, or missing data;
  • you should stop exercising and seek appropriate help if you experience chest pain, shortness of breath, dizziness, fainting, severe pain, unusual weakness, confusion, injury symptoms, or any other concerning symptoms;
  • you should not follow any recommendation that feels unsafe, inappropriate, painful, or inconsistent with professional advice you have received; and
  • you are responsible for using judgment, common sense, and caution when engaging in physical activity.

Vertis does not guarantee that following any training plan, recommendation, or insight will improve your fitness, performance, race results, health, wellness, or injury risk.

8. Assumption of Athletic Risk

Running, endurance training, strength training, mobility work, racing, cross-training, and other athletic activities involve inherent and significant risks. These risks may include soreness, fatigue, overtraining, dehydration, heat illness, falls, collisions, muscle strain, tendon injury, stress fracture, cardiac events, illness, permanent injury, disability, death, property damage, and other known and unknown risks.

By using the Services, you acknowledge and agree that:

  • you voluntarily assume all risks associated with your athletic activities;
  • you are solely responsible for your decision to begin, continue, modify, skip, intensify, or stop any workout or training plan;
  • Vertis is not responsible for supervising, inspecting, preparing, monitoring, or conducting any run, workout, race, event, challenge, route, group activity, or training session;
  • Vertis is not responsible for environmental conditions, traffic, terrain, weather, route hazards, unsafe locations, other people, animals, equipment, or your physical condition; and
  • you are responsible for obtaining medical clearance or professional advice before beginning or modifying an exercise program, especially if you have any health condition, injury, disability, pregnancy, medication use, prior cardiac issue, or other concern.

9. No Medical Advice

The Services are provided for general fitness, wellness, educational, informational, and training-support purposes only. Vertis is not a healthcare provider. Vertis does not provide medical advice, diagnosis, treatment, prevention, cure, or monitoring of any disease, injury, disability, or medical condition.

The Services are not intended to replace:

  • advice from a physician or other licensed healthcare professional;
  • diagnosis or treatment from a healthcare professional;
  • emergency medical care;
  • physical therapy;
  • mental health care;
  • professional nutrition guidance;
  • professional coaching or personal training; or
  • your own judgment and bodily awareness.

No communication through the Services creates a doctor-patient, therapist-patient, coach-athlete, trainer-client, fiduciary, or other professional relationship between you and Vertis.

You should consult a qualified healthcare professional before beginning or modifying any exercise, training, diet, recovery, or wellness program. You should never disregard medical advice or delay seeking medical advice because of anything provided through the Services.

If you believe you are experiencing a medical emergency, contact emergency services immediately.

AI, Algorithms & Beta Features

10. Training Intelligence Architecture, AI, Algorithms, and Automated Outputs

Vertis separates training decisioning from AI-assisted communication. Core training decisions are generated by Vertis's deterministic training engine using mathematical models, rules, and user, activity, and wearable data. The deterministic engine is responsible for core training calculations and plan logic, which may include readiness, adaptation tier, periodization, recovery phases, workout prescriptions, full plan generation, and plan adaptation.

AI systems may support the Services by helping explain, summarize, classify, or present information in a coaching-style voice. AI may generate chat replies, post-workout messages, recovery summaries, safety classifications, and proposed actions. AI-generated content is advisory, explanatory, and conversational. AI does not autonomously change your training plan.

In limited cases, AI-assisted features may propose bounded actions, such as deferring a workout or swapping a workout. Any such proposal must be reviewed and affirmatively accepted by you before it changes your plan. You remain responsible for deciding whether to apply any proposed action. Vertis may audit, log, or review such actions for safety, quality, security, product improvement, and accountability.

The Services may use deterministic rules, algorithms, artificial intelligence, machine learning, large language models, statistical models, training logic, or third-party AI services to generate or support recommendations, summaries, explanations, insights, plan adjustments, scores, safety classifications, or other outputs ("Automated Outputs").

You acknowledge and agree that:

  • Automated Outputs may be inaccurate, incomplete, biased, inconsistent, delayed, outdated, misleading, or unsuitable for your circumstances;
  • AI systems and algorithms may misinterpret your data, your intent, your fitness level, your fatigue, or the meaning of completed, missed, deferred, or modified workouts;
  • AI-generated commentary may sound confident even when it is wrong;
  • Automated Outputs are not a replacement for medical, coaching, training, or professional judgment;
  • Automated Outputs are intended to support, not replace, your independent judgment;
  • Vertis does not guarantee that Automated Outputs will be accurate, safe, effective, reliable, or useful;
  • you are responsible for reviewing and validating any Automated Output before relying on it;
  • you should not rely on Automated Outputs in emergency, high-risk, medically significant, or safety-critical situations; and
  • you should not treat AI-assisted communications as professional coaching, medical advice, diagnosis, treatment, or a safety clearance.

To the fullest extent permitted by law, Vertis is not liable for injuries, losses, damages, or consequences arising from your reliance on Automated Outputs, including AI-assisted communications or proposed actions.

11. Beta, Experimental, and Early-Access Features

The current beta version of Vertis is invite-only, free, intended for users located in the United States only, and limited to users who are at least 18 years old. Beta access is provided for testing, evaluation, product improvement, and feedback purposes.

Vertis may provide beta, pre-release, experimental, pilot, prototype, limited-release, or early-access features ("Beta Features"). Beta Features may include functionality that is incomplete, unstable, inaccurate, unreliable, partially implemented, not fully tested, or not operating as designed.

You acknowledge and agree that:

  • Beta Features are provided for testing and evaluation;
  • Beta Features may contain bugs, defects, design flaws, missing functionality, data errors, security issues, or inaccurate outputs;
  • Beta Features may change, break, be removed, or become unavailable at any time;
  • Vertis may request feedback, interviews, surveys, bug reports, or other input about Beta Features;
  • Vertis has no obligation to maintain, support, release, or continue any Beta Feature;
  • use of Beta Features is at your own risk;
  • Beta Features should not be relied upon for safety-critical, medical, or high-stakes decisions;
  • Vertis may reset, delete, migrate, modify, or restrict beta data where reasonably necessary to operate, test, improve, secure, or update the Services; and
  • Vertis may revoke beta access at any time, to the extent permitted by law.

During a beta period, Vertis may limit the number of users, restrict access, disable accounts, reset data, change features, request interviews, monitor usage, or terminate access to protect the Services or improve the product.

Your Content & Acceptable Use

12. User Content and User Data

For purposes of these Terms, "User Content" means content, information, files, text, notes, comments, feedback, goals, activity data, workout information, profile details, training inputs, support communications, or other materials that you submit, upload, import, authorize, transmit, or make available through the Services.

You retain ownership of your User Content, subject to the rights you grant Vertis under these Terms.

You represent and warrant that:

  • you own or have the necessary rights to provide your User Content;
  • your User Content is accurate to the best of your knowledge where accuracy matters for use of the Services;
  • your User Content does not violate any law or third-party rights;
  • your User Content does not contain malware, harmful code, or unlawful content; and
  • you will not submit another person's personal information, health information, location information, or activity data without proper authorization.

You are responsible for your User Content and for maintaining your own backups of any information you want to preserve.

13. License to User Content

You grant Vertis a limited, worldwide, non-exclusive, royalty-free, sublicensable license to access, use, host, store, reproduce, process, analyze, transmit, display, modify, and create derivative works from your User Content solely as reasonably necessary to:

  • provide, operate, maintain, secure, and improve the Services;
  • generate training plans, recommendations, summaries, insights, and other Services outputs;
  • support deterministic training calculations and plan logic;
  • support AI-assisted explanations, summaries, chat responses, safety classifications, and proposed actions;
  • troubleshoot bugs and support requests;
  • develop, test, and evaluate new features;
  • operate the beta program;
  • protect the Services and other users;
  • comply with law; and
  • use aggregated, anonymized, or de-identified information for analytics, product development, research, benchmarking, and business purposes.

Vertis will handle personal information in accordance with the Privacy Policy. Vertis does not sell identifiable health or fitness data, does not use health or fitness data for advertising, and does not publicly sell your identifiable personal training data as a standalone product.

To the extent permitted by law, Vertis may continue to use aggregated, anonymized, or de-identified information that does not reasonably identify you after your account is deleted.

14. Feedback

If you provide ideas, suggestions, comments, bug reports, usability notes, feature requests, interview responses, survey answers, or other feedback about the Services ("Feedback"), you grant Vertis a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, commercialize, and otherwise exploit that Feedback for any purpose without compensation, attribution, or obligation to you.

Please do not submit Feedback if you do not want Vertis to use it freely.

15. Acceptable Use

You agree not to misuse the Services. You may not:

  • violate any law, regulation, or third-party right;
  • use the Services for any unlawful, harmful, fraudulent, deceptive, abusive, harassing, threatening, hateful, obscene, defamatory, or exploitative purpose;
  • impersonate any person or entity;
  • create an account using false or misleading information;
  • share your account or subscription with others;
  • access another person's account, data, or activity information without authorization;
  • upload malware, viruses, harmful code, or destructive files;
  • interfere with, disrupt, overload, damage, or impair the Services;
  • probe, scan, test, or exploit vulnerabilities without authorization;
  • scrape, crawl, harvest, mine, copy, extract, or collect data from the Services using automated means without written permission;
  • reverse engineer, decompile, disassemble, modify, or attempt to derive the source code, models, rules, algorithms, or underlying systems of the Services except where prohibited from restriction by law;
  • bypass, disable, or interfere with security or access controls;
  • use the Services to build or improve a competing product without written permission;
  • use the Services for commercial coaching, team management, clinical, employment, insurance, underwriting, surveillance, or institutional purposes unless Vertis authorizes that use in writing;
  • submit false workout data, manipulated activity data, or fraudulent performance information;
  • use the Services in a way that could endanger yourself or others; or
  • encourage or assist anyone else in doing any of the above.

Vertis may investigate suspected violations and may suspend, restrict, or terminate accounts or access where we believe these Terms have been violated.

16. Personal Use Only

Unless Vertis agrees otherwise in writing, the Services are provided for your personal, non-commercial use. You may not sell, resell, rent, lease, sublicense, share, distribute, or commercially exploit the Services or any part of them.

You may not use Vertis as a professional coaching platform, employer wellness platform, clinical tool, team management system, research tool, insurance assessment tool, or commercial service unless you have a separate written agreement with Vertis.

Intellectual Property & App Stores

17. Intellectual Property

The Services, including all software, technology, designs, interfaces, graphics, logos, trademarks, service marks, trade names, content, documentation, algorithms, rules, models, workflows, training logic, recommendations, summaries, and other materials, are owned by Vertis or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, Vertis grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, lawful use.

Except as expressly allowed by these Terms, you may not copy, reproduce, distribute, modify, publicly display, publicly perform, create derivative works from, sell, lease, reverse engineer, or exploit any part of the Services.

All rights not expressly granted are reserved by Vertis.

18. App Store Terms

If you download the Vertis mobile application from the Apple App Store, Google Play Store, or another app marketplace, your use of the application may also be subject to the terms, conditions, and usage rules of that marketplace.

You acknowledge that:

  • the app marketplace is not responsible for the Services;
  • the app marketplace has no obligation to provide maintenance or support for the Services;
  • payments, renewals, refunds, and cancellations may be governed by the app marketplace's rules if you subscribe or purchase through that marketplace; and
  • if there is a conflict between these Terms and applicable app marketplace terms, the app marketplace terms may control solely to the extent required by that marketplace.

Subscriptions & Billing

19. Subscriptions, Payments, Free Trials, and Billing

During the current beta period, access to Vertis is free. Vertis may later offer paid subscriptions, paid features, free trials, promotional pricing, or other commercial offerings.

Some future Services may be free, while others may require payment or a subscription. Vertis may add, modify, suspend, or discontinue free or paid features at any time.

If you purchase a subscription or paid feature in the future, you agree to pay all applicable fees, taxes, and charges disclosed at checkout or in the applicable purchase flow.

19.1 Payment Methods

You may be required to provide a valid payment method for future paid Services. By providing a payment method, you authorize Vertis, its payment processors, or the applicable app marketplace to charge your payment method for applicable fees, taxes, renewals, and other charges.

19.2 Auto-Renewal

If you purchase an automatically renewing subscription in the future, your subscription will renew automatically at the end of each billing period unless you cancel before renewal in accordance with the cancellation process disclosed at purchase or provided by the applicable app marketplace.

19.3 Cancellation

You may cancel your subscription at any time where subscriptions are offered. Unless otherwise required by law or stated at purchase, cancellation will take effect at the end of your then-current billing period. You will continue to have access to paid features until the end of that period.

19.4 No Refunds

Except where required by law or expressly stated by Vertis, future fees will be non-refundable and non-transferable. Vertis does not provide prorated refunds for partial billing periods unless required by law or expressly stated at purchase.

19.5 Free Trials and Promotions

Vertis may offer free trials, beta access, discounts, referral codes, promotional pricing, or other offers. These offers may be subject to additional terms. Vertis may modify, withdraw, or discontinue any promotion at any time.

If a free trial converts into a paid subscription, Vertis will disclose the applicable pricing and renewal terms in the purchase flow. You are responsible for canceling before the trial ends if you do not want to be charged.

19.6 Price Changes

Vertis may change subscription fees or introduce new fees. We will provide notice where required by law. Price changes will generally take effect at the next billing period unless otherwise disclosed.

Service Changes & Termination

20. Changes to the Services

Vertis may change, update, improve, modify, suspend, restrict, or discontinue any part of the Services at any time, including features, training logic, algorithms, integrations, data sources, pricing, user interfaces, content, or availability.

Vertis may make changes to:

  • comply with law;
  • address security, privacy, fraud, abuse, or technical issues;
  • improve the Services;
  • remove outdated or unsupported features;
  • respond to third-party integration changes;
  • operate the beta program; or
  • pursue business, product, or technical priorities.

Vertis is not liable for changes to, suspension of, or discontinuation of the Services, except where prohibited by law.

21. Termination and Suspension

You may stop using the Services at any time. You may request deletion of your account as described in the Privacy Policy or through available account tools.

Vertis may suspend, restrict, or terminate your access to the Services at any time if:

  • you violate these Terms;
  • your account information is inaccurate, misleading, or fraudulent;
  • your account is inactive for an extended period;
  • your payment fails or your subscription expires;
  • your use creates risk or potential liability for Vertis, other users, or third parties;
  • we suspect security compromise, fraud, abuse, or unlawful activity;
  • required by law, court order, governmental request, app marketplace rule, or third-party platform restriction; or
  • Vertis decides to discontinue or materially change the Services.

Upon termination, your right to access and use the Services will end. Certain provisions of these Terms will survive termination, including provisions relating to ownership, user responsibility, feedback, disclaimers, limitation of liability, indemnification, dispute resolution, and any payment obligations incurred before termination.

22. Support and Communications

Vertis may provide support through email, in-app tools, help resources, or other channels. Vertis does not guarantee any particular support availability, response time, resolution, or outcome.

By providing your contact information, you agree that Vertis may send you transactional, administrative, legal, security, account, product, support, and service-related communications. These communications may be sent by email, in-app notification, push notification, text message, or other means where permitted.

You may opt out of marketing communications where required by law, but you may still receive non-marketing communications related to your account or the Services.

23. Third-Party Links, Content, Products, and Services

The Services may include links, references, integrations, recommendations, advertisements, promotions, or access to third-party websites, apps, products, services, devices, events, communities, races, media, or content.

Vertis does not control and is not responsible for third-party products, services, content, policies, actions, or omissions. Your dealings with third parties are solely between you and the third party. Vertis does not endorse or guarantee third-party services unless we expressly state otherwise.

You use third-party services at your own risk.

Location, Routes & Safety

24. Location, GPS, Routes, and Safety

The Services may display, process, import, or infer location, distance, pace, elevation, route, weather-related, or GPS-based information if available through your device, activity file, wearable, or third-party service.

You acknowledge and agree that:

  • location and route information may be inaccurate, delayed, incomplete, or unavailable;
  • Vertis does not verify the safety, legality, accessibility, or suitability of any route, workout location, running surface, trail, road, or environment;
  • you are responsible for selecting safe places to train;
  • you should obey all traffic laws, posted signs, property restrictions, and applicable rules;
  • you should not use the Services in a way that distracts you from hazards, traffic, terrain, weather, or your surroundings; and
  • sharing or displaying location information may create privacy or safety risks.

Vertis is not responsible for injuries, losses, or damages arising from location-based information, route choices, unsafe environments, or your use of GPS or map-related features.

Disclaimers & Liability

25. Disclaimers of Warranties

To the fullest extent permitted by law, the Services and all content, recommendations, training plans, activity summaries, insights, data, Automated Outputs, Beta Features, integrations, and other materials are provided on an "as is," "as available," and "with all faults" basis.

Vertis disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, uninterrupted operation, security, and error-free performance.

Vertis does not warrant that:

  • the Services will be accurate, reliable, complete, timely, uninterrupted, secure, or error-free;
  • recommendations, insights, plans, or outputs will be safe, appropriate, effective, or suitable for you;
  • the Services will prevent injury, overtraining, illness, undertraining, missed goals, or poor performance;
  • third-party integrations will work or remain available;
  • data displayed or processed by the Services will be accurate or complete;
  • bugs, defects, or errors will be corrected;
  • the Services will meet your expectations or goals; or
  • the Services will be available in any particular location or on any particular device.

You use the Services at your own risk.

26. Limitation of Liability

To the fullest extent permitted by law, Vertis and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost data, loss of goodwill, personal injury, emotional distress, business interruption, lost opportunity, device failure, or other losses arising out of or relating to your use of or inability to use the Services.

To the fullest extent permitted by law, Vertis and the released parties are not liable for injuries, losses, damages, claims, or consequences arising from:

  • your athletic activities;
  • your reliance on any training plan, recommendation, adjustment, insight, score, or Automated Output;
  • inaccurate, missing, or delayed data;
  • third-party devices, APIs, apps, or services;
  • Beta Features;
  • your failure to use reasonable judgment;
  • your failure to seek medical or professional advice;
  • unsafe environments, routes, traffic, terrain, weather, or equipment;
  • unauthorized account access;
  • service interruptions or data loss; or
  • any other use or misuse of the Services.

To the fullest extent permitted by law, Vertis's total aggregate liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of:

  • one hundred U.S. dollars ($100); or
  • the amount you paid to Vertis for the Services during the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the limitations will apply to the fullest extent permitted by law.

27. Release

To the fullest extent permitted by law, you release Vertis and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, and partners from claims, liabilities, demands, actions, damages, losses, costs, and expenses arising out of or related to:

  • your athletic activities;
  • your use or misuse of the Services;
  • your reliance on any recommendation, training plan, insight, score, summary, or Automated Output;
  • your interaction with third-party services;
  • your User Content;
  • your violation of these Terms; or
  • your violation of law or third-party rights.

28. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Vertis and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, and partners from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use or misuse of the Services;
  • your athletic activities;
  • your User Content;
  • your violation of these Terms;
  • your violation of law;
  • your violation of third-party rights;
  • your unauthorized use of another person's data or account;
  • your reliance on or sharing of any Services output; or
  • your use of the Services for commercial, coaching, team, clinical, research, employment, insurance, or institutional purposes without authorization.

Vertis reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with our defense.
